Associate & SA, IP Non Contentious, US law Firm - London

Our client is a leading US law firm, they are currently looking for both a strong non contentious IP Associate level lawyer 3-6 PQE and a SA 6-9 PQE to join their team in London.

The work is four fold:

  • Transaction support for M&A, IPO’s and JV’s

  • General Commercial Agreements for Technology - Such as BPO’s, SaaS, System integrations and complex IT Transformation projects

  • Data, Privacy & Cyber security advice

  • IP transfer and exploitation

The team benefits from excellent referrals from its busy corporate teams locally and globally as well has having some excellent standalone IP clients.

The work is transactional IP and technology matters and agreements, both on a standalone basis and in connection with joint ventures, strategic collaborations, M&A transactions, restructurings, business separations, spin-offs, capital market transactions and financings.

Agreements for the acquisition, development, transfer and licensing of software, digital content, patents, trademarks, other intellectual property and technology, know-how and data as well as research and development agreements, distribution, re-seller, marketing agency, supply and manufacturing agreements, Software-as-a-Service (SaaS) agreements and (transitional) services agreements.

Experience of advising on IT outsourcings, business process outsourcings, the implementation of IT systems and open source software issues will be well regarded.

Work with Partners who have a special focus on the digital transformation of industries and the resulting innovative services and business models, in particular in the areas of financial technology (fintech), digital health, mobility concepts, cybersecurity and the Internet of Things (IoT), including machine-to-machine (M2M) communication, Industry 4.0 and smart technologies.

Advising a client on the acquisition of a medical devises company - transaction value >$10bn

Advising a client on the acquisition of a secure mobile messaging service

Advising a PE firm on the acquisition of a TV broadcasting business

Advising a global automotive firm on Outsourcing of IT Services, Cloud Computing Services, Finance & Accounting services

Advising a Global Financial Services business on negotiating a SAAS agreement with an e-trading platform and a data analytics provider

Providing GDPR advise to a wide range of major corporate clients

A multitude of complex standalone IP and IT Commercial Agreements
