Greenfields legal Role

New local business, backed up by a multi $Bn Parent co

Our client is a newly formed business in Australia. Part of the latest expansion into Australia of one of the largest Energy companies in the World. They are an integrated energy company, active in all areas of the electricity markets value chain: generation, transmission, distribution, energy trading, energy sales and energy services.

The new Australian Business is focused on long duration storage as well as utility-scale batteries, electricity transmission infrastructure and the green hydrogen value chain.

They are looking for a Senior Energy Projects lawyer to join them in scaling the business in Australia,

The role will involve:

 

  • Leading and managing the provision of legal services, particularly in relation to the assessment and analysis of brownfield and greenfield infrastructure opportunities;

  • Negotiating, drafting and providing legal advice, particularly in relation to brownfield transactions, greenfield development, partnering opportunities and related documentation;

  • Managing material litigation, disputes and business as usual compliance requirements;

  • Managing the scoping and implementation of legal initiatives and special projects, including key legal issues of relevance, making submissions to external bodies in relation to legal issues of relevance

  • Assisting with project/transaction management and related key deliverables (including for example, managing legal due diligence work streams, the development of risk registers, documentation, approval processes);

  • Managing the interface with key external stakeholders (including partners, regulatory and policy bodies like FIRB, ACCC) and external service providers like law firms.

  • On the corporate level, the Role will assure the Secretariat of the Shareholders’ Meetings and Board of directors , and the preparation of the Boards / Shareholders’ meeting of any other fully-owned subsidiaries and the SPVs in which the Parent Co’s APAC division has a participation in Australia, with the preparation, draft and execution of formalities of the corresponding corporate and legal documents.

The ideal candidate will have:

  • Preferably a minimum of 8 to 10+ years’ of demonstrated legal experience providing legal leadership in respect of energy infrastructure projects (including EPC and financing agreements), tender processes, commercial transactions, regulatory matters, drafting/negotiating, dispute management.

  • In House experience is very highly sought for this position

  • A good track record of involvement in major projects and/or corporate transactions, including experience in working with a range of diverse, multi-disciplinary deliverables

  • Solid experience negotiating, reviewing and drafting

  • Strong commercial, conceptual and analytical skills with at least a working knowledge of energy markets

  • Experience and familiarity with issues affecting energy infrastructure and a good knowledge of policy/regulatory frameworks applicable to the company’s areas of interest.

  • Understanding of Australia’s foreign investment rules and requirements
