3 month contract role (with potential for extension)

Our client is a privately held multi billion dollar company in the Energy & Utilities space owned by a consortium of International Infrastructure Investment businesses

About the Opportunity
The Company Secretary supports the Group Company Secretary and Deputy Company Secretary in the management, and support, of the company Board and unit trust entities as required in meeting their corporate governance, legal and regulatory obligations. This also includes the supporting the implementation and administering of the corporate governance framework and managing the insurance regime

They will sit as part of a 30 person Legal Risk and Compliance team and work most closely with the Group Company Secretary and Deputy Company Secretary and Admin support.

The reason for the contract role arising is two fold:
1. Overlapping leave and work trips
2. General work load, both BAU and Governance projects  

The client would ideally like a legally qualified candidate so that as well as working on Co Sec and Governance issues, they have the ability to work on Legal matters as well. Though Candidates with a strong Compliance or Risk background would also work well.

As well as supporting the Group Company Secretary and Deputy Co Sec this role will also be supported (as needs be), by the wider Legal Risk and Compliance team in what is a supportive team based environment.

The client would like to see an all rounder, with good common sense who has the ability to tackle most day to day matters, but who also knows when to escalate matters as required.

Whilst this role is being offered as a three month contract, the business is in a once in a generation period of expansion and positive change and the LR&C team are busy so there is the possibility for extension based on the candidates performance and ongoing business needs.   

The role of the Company Secretary includes but not limited to:

  • Managing communications with Company Secretary, including the production and dispatch of management reports and Board papers and agendas

  • Managing statutory filings and lodgements in timely manner

  • Designing  and implementing  of governance related projects e.g financial delegation;

  • Maintaining the statutory registers and other governance-related operational registers;

  • Reviewing and improving operating practices

  • Preparing Governance and insurance budgets with Company Secretary;

What you need:

  • A Law degree (desirable)

  • 7-10 years + Experience in a Company Secretarial role 

  • Graduate Diploma of Applied Corporate Governance (desirable)

  • Organised, methodical and attentive to detail

  • No listed Company experience or Energy or Infrastructure experience is required.

  • Proven experience to build and maintain relationships with relevant stakeholders including those at board level.

  • Experience in supporting a Group Company secretary (desirable) 

  • Experience in or ability to use online board paper management system
