ABOUT YOU
As a Legal Counsel, you will be part of the Legal team, with a focus on providing legal advice for all aspects of the business, as well as ensuring compliance in guiding commercial decision making, supporting the clients acquisitions team on new potential projects and attending to the legal requirements of existing projects, including on planning, development, construction, titling, financing and sales.
To be successful in this role, you should have a friendly and approachable personality to work with the wider team and be able to develop the legal intellectual capital of the business and developing processes and procedures for the efficient procurement and provision of legal services and to mitigate risks, manage stakeholder expectations.
KEY RESPONSIBILITIES:
• Attending to legal documentation, risk management, dispute prevention and management and other matters to implement current and future projects covering all aspects such as planning, development, construction, titling, financing and sales, including:
✓ review, negotiation and finalisation of transaction documents for acquisitions and providing general support and advice to management in the evaluation, negotiation, documentation, structuring and risk review of new projects;
✓ managing sale contracts with purchasers (through external legal providers), liaising with internal project team and providing instructions for amendments to sale contracts, reviewing and advising on project sales requirements, review and advise on sales and marketing collateral and agency agreements;
✓ review, negotiation and finalisation of finance agreements;
✓ review, negotiation and finalisation of building contracts and other construction related documents;
✓ reviewing and advising on consultant procurement contracts;
✓ managing disputes and advising on actual or threatened claims.
• Managing advice, matters and transactions through a panel of specialist law firms.
• General legal advice on corporate level matters.
• Managing ongoing compliance requirements including FIRB, licensing and registrations and monitoring changes and developments in the legal and regulatory environment.
• Monitor and provide advice to management in the evaluation of risk and compliance in the business.
• Manage legal panel processes and procedures to ensure efficient procurement and provision of legal services.
• Developing and maintaining precedents and templates.
REQUIREMENTS:
• An experienced real estate development lawyer with circa 3-6 years PQE gained within a major firm and ideally with experience in the residential development sector. In-house experience will be looked upon favourably but is not essential.
Strong background in real estate and/or construction law and be able to advise on residential, mixed use and master planned projects. Some understanding or experience in FIRB and indirect tax, planning law and financing deals will be beneficial,
• Admission as a solicitor in New South Wales or Victoria (or comparable jurisdiction) with an unrestricted practising certificate is required.
